section-wise detailed notes on Chapter 12 of the Companies Act, 2013 are as follows:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-section-173-meetings-of-board\">Section 173 Meetings of Board<\/h3>\n\n\n\n<p>This section mandates that every company must hold the first board meeting within 30 days of incorporation, and at least four board meetings every year, ensuring that the gap between two consecutive meetings does not exceed 120 days.<\/p>\n\n\n\n<p>For One Person Companies (OPC), Small Companies, and Dormant Companies, at least one meeting in each half of the calendar year is sufficient, with a minimum gap of 90 days between the two meetings.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Minimum 4 board meetings per year.<\/li>\n\n\n\n<li>Maximum gap: 120 days.<\/li>\n\n\n\n<li>OPC\/small companies: 2 meetings per year.<\/li>\n\n\n\n<li>Directors may participate through video conferencing.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-section-174-quorum-for-meetings-of-board\">Section 174 Quorum for Meetings of Board<\/h3>\n\n\n\n<p>A quorum is the minimum number of directors required to validly hold a meeting.<br>The quorum shall be one-third of the total strength or two directors, whichever is higher.<\/p>\n\n\n\n<p>If the number of directors falls below the quorum due to disqualification or resignation, the remaining directors can act only to increase the number of directors or call a general meeting.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Quorum = 1\/3 of total directors or 2, whichever is higher.<\/li>\n\n\n\n<li>Interested directors are excluded from quorum.<\/li>\n\n\n\n<li>Remaining directors can act only for limited purposes if quorum is lost.<\/li>\n<\/ul>\n\n\n\n<div urgent matters can be decided without a formal board meeting. Beyond these limits, a special resolution is needed. Companies must also disclose details of such loans or investments in financial statements.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Defines investment and lending limits.<\/li>\n\n\n\n<li>Requires shareholder approval beyond limits.<\/li>\n\n\n\n<li>Disclosure in financial statements is mandatory.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-section-187-investments-to-be-held-in-own-name\">Section 187 Investments to be Held in Own Name<\/h3>\n\n\n\n<p>All company investments must be held in the company\u2019s own name.
